after physical exertion I feel dizzy, feel like my brain is swolen and feel generally unwell and slightly depressed.
I am a keen surfboard rider, 40yo, non smoker, non drinker and fit.
I will go surfing for 2 hours one day and feel ok then the next I may only last five or ten minutes before an attack occurs when I feel dizzy and unwell.
this also happens some days just working or walking but seems to be exagerated under physical exertion.
im worried one day I will pass out in the water and drown.

If you are having these problems mostly associated with physical exertion, I recommend you first see a medical doctor to rule out anything physical. There could be many things to cause that, and at your age, you should be getting a full physical every year.
If everything is fine physically, then it could very well be Panic disorder. If that is the case, it is a very treatable condition.
